Board of Directors – Roles and Responsibilities

 

The responsibilities of the Board of Directors include:

 

·         Strategic Planning: Define the mission and objectives of the foundation.

·         Fundraising:  Participate in fundraising activities to ensure that the foundation achieves its mission and objectives.

·         Policy-Setting and Oversight: Establish policies to ensure that foundation’s operations are consistent with its mission as well as all applicable laws and regulations.

·         Fiduciary Oversight: Approve the foundation’s annual budget and monitor the foundation’s financial management.

  • Financial Commitment:  Make an annual financial contribution to the BPL Foundation through the Board Campaign.
  • Annual Audit: Authorizes the engagement of the foundation’s auditor.

·         Evaluation:  Regularly monitors the activities of the organization including committee work, proposals, and organization operations.

·         Advocacy: Serve as a spokesperson for the Foundation, promoting the mission and activities of the BPL Foundation.

·         Personnel: Monitor performance against defined foundation aims and objectives.

·         Focus Area: To participate in a focus area of activity toward accomplishing defined aims and objectives.

 

Characteristics of the Board

The board will comprise of twenty one founding directors who represent either a pertinent profession or an entity within the Davis County community.  Each member of the board will have at least one assigned activity area that will be their focus of interest as a part of the overall activities of the foundation.  Some activity areas will require the involvement of more than one director, and the number of directors assigned can change from time to time at the discretion of the board.  Each activity area of the foundation will be reported on by the assigned director(s) at each monthly and annual meeting as well as any special meeting called for that involves a topic related to that activity.

Every director is required to attend ten of the twelve monthly meetings and the annual meeting.  Attendance will be registered through physical presence or by board approved electronic methods.  If a board member is unable to attend using any approved method then the absence must be made known to a director on the executive board no later than forty eight hours before the start time of the meeting.

A peer review board will actively pursue any complaint or suspicion of unethical actions or remarks by any director, volunteer, or other entity within, or connected to, the foundation.  The peer review board will also assess directors of the board and chairpersons of each committee annually in regard to professionalism, productivity, and the achievement of goals and objectives in place.
